The actions taken by the existing shareholders did not lead to putting more capital into WBR S.A. Negotiations in this matter that were held by Administrative Management, established as of November 8, 2000, with potential investors have been concluded successfully. The approval to take over WBR S.A. was expressed by Bank Slaski S.A. in Katowice. Considering the necessity to protect the interests of the Bank's customers, the decision on the Bank's takeover is fully justified. The accomplishment of this decision will ensure full safety of funds held at bank accounts with Wielkopolski Bank Rolniczy S.A. in Kalisz.

According to the decision of the Commission, as of August 9, 2001 Bank Slaski S.A. in Katowice takes over the management of the assets of Wielkopolski Bank Rolniczy S.A. in Kalisz. The takeover of WBR S.A. will be held according to the balance sheet as of August 24, 2001 and as of this date Bank Slaski S.A. in Katowice will be vested upon all the rights and obligations of Wielkopolski Bank Rolniczy S.A. in Kalisz.
