Release of the meeting of the Payment Systems Council 8 August 2001 The Commission for Banking Supervision informs that according to Article 147 para. 1 and 2 of the Banking Act of August 29, 1997 (Dziennik Ustaw [the Journal of Laws - trans.] of 1997 no. 140, item 939; Dziennik Ustaw of 1998 no. 160, item 1063; no. 162, item 1118; and Dziennik Ustaw of 1999 no. 11, item 95; and no. 40, item 399; and Dziennik Ustaw of 2000 no. 93, item 1027; no. 94, item 1037; no. 114, item 1191; no. 116, item 1216; no.119, item 1252; and no. 122, item 1316; and Dziennik Ustaw of 2001 no. 8, item 64), through the Resolution no. 67/KNB/01 of August 6, 2001 it made a decision on the takeover of Wielkopolski Bank Rolniczy S.A. in Kalisz by Bank Slaski S.A. in Katowice. The actions taken by the existing shareholders did not lead to putting more capital into WBR S.A. Negotiations in this matter that were held by Administrative Management, established as of November 8, 2000, with potential investors have been concluded successfully. The approval to take over WBR S.A. was expressed by Bank Slaski S.A. in Katowice. Considering the necessity to protect the interests of the Bank's customers, the decision on the Bank's takeover is fully justified. The accomplishment of this decision will ensure full safety of funds held at bank accounts with Wielkopolski Bank Rolniczy S.A. in Kalisz. According to the decision of the Commission, as of August 9, 2001 Bank Slaski S.A. in Katowice takes over the management of the assets of Wielkopolski Bank Rolniczy S.A. in Kalisz. The takeover of WBR S.A. will be held according to the balance sheet as of August 24, 2001 and as of this date Bank Slaski S.A. in Katowice will be vested upon all the rights and obligations of Wielkopolski Bank Rolniczy S.A. in Kalisz. According to Article 147 para. 3 of the Banking Act of August 29, 1997, the Supervisory Board of Wielkopolski Bank Rolniczy S.A. in Kalisz has got the right to petition the Chief Administrative Court to set aside the decision of the Commission for Banking Supervision. In case the decision of the Commission for Banking Supervision is petitioned, the takeover will take place after the Chief Administrative Court hears the petition.
